Terms of service
1. Who we are
Seatcue is provided by Inverted Digital Ltd, a company registered in Bulgaria with UIC 206353756, VAT number BG206353756, and registered address 9 Stracin Str., Veliko Tarnovo, Bulgaria ("Seatcue", "we", "us"). Contact: firstrow@seatcue.ai or +359 88 351 7300. These terms cover the website at seatcue.ai, the Seatcue application and related services (together, the "Service").
2. Accepting these terms
By creating an account or using the Service, you accept these terms for yourself and for the organisation you represent, and you confirm you're allowed to do so. The Service is for business use by people aged 18 or over.
3. What Seatcue is
Seatcue is a planning workspace for teams that host, sponsor or exhibit at events. It helps you create event ideas, briefs, agendas, task plans, marketing content, visuals, event pages, sales materials and reports, using AI and information you provide or allow it to find.
Seatcue doesn't organise your events, book venues or suppliers, sell tickets, run registrations or contact people on your behalf. You remain responsible for your events and your communication with guests, partners and suppliers.
4. Accounts
- Give accurate information when you register and keep it up to date.
- Keep your sign-in details secure. You're responsible for activity in your account.
- Each seat is for one named person and can't be shared.
- Tell us promptly at firstrow@seatcue.ai if you think someone has accessed your account without permission.
5. Plans, fees and billing
The Free plan has no charge and has usage limits. Paid plans and add-ons are charged at the prices on our website or in your order, excluding VAT unless stated otherwise.
- Paid plans are activated after we confirm your order and are invoiced in advance, monthly or yearly.
- Plans renew for the same period unless you cancel before the renewal date. You keep access until the end of the paid period.
- Fees already paid aren't refundable, except where these terms or mandatory law say otherwise.
- We may change prices for future periods with at least 30 days' notice. The new price applies from your next renewal.
- If an invoice isn't paid, we may move your account to the Free plan after reminding you and giving you at least 7 days to pay. Your data isn't deleted.
- Usage limits, such as events, seats, brand kits and AI requests, are described with each plan. Unused allowances don't carry over.
6. Your content and data
"Your Content" means everything you or your team put into or create with the Service, including briefs, brand materials, logos, photos, guest and contact lists, and generated output.
- You keep all rights to Your Content. You allow us to host, copy and process it only as needed to provide, secure and support the Service.
- You confirm you have the rights and permissions for Your Content, including permission from speakers for their photos and a lawful basis for any personal data about other people.
- Where Your Content includes personal data, you are the controller and we process it on your behalf. We'll sign a data processing agreement on request.
- You can export or delete Your Content at any time. How we handle personal data is described in our privacy policy.
7. AI-generated output
The Service uses AI models and web search. Output can be inaccurate or incomplete, and information about venues, suppliers, companies and third-party events may be out of date.
- Review output before you use, publish or send it, and check facts, prices, dates and legal requirements yourself.
- Fit checks, value estimates and recommendations help you decide. They don't guarantee results.
- As between you and us, you own the output generated for you, to the extent the law allows. We don't use Your Content to train AI models.
8. Acceptable use
You must not use the Service to:
- send spam or contact people without a lawful basis under data protection and electronic communications law;
- break the terms of other platforms you use with Seatcue;
- upload unlawful, infringing or harmful content, or content you don't have the right to use;
- try to access other customers' data, disrupt the Service, reverse engineer it or get around usage limits;
- resell the Service without a written agreement with us.
We may suspend access where reasonably necessary to stop a breach of this section, and we'll tell you why unless the law prevents it.
9. Our intellectual property
The Service, including its software, design, templates and the Seatcue name and logo, belongs to us or our licensors. You get a non-exclusive, non-transferable right to use the Service while your account is active. We may use feedback you give us to improve the Service.
10. Availability and changes
We work to keep the Service available and secure, but we don't guarantee uninterrupted access. We may improve or change features. If we remove a core feature of a paid plan during your billing period, we'll give reasonable notice and, if you're materially affected, a pro-rata refund on request.
11. Liability
- Nothing in these terms limits liability that can't be limited by law, including for fraud, gross negligence or intentional misconduct.
- Neither party is liable for indirect or consequential loss, or for lost profits, revenue, business or goodwill.
- Our total liability in any 12-month period is limited to the fees you paid us in that period, or €100 on the Free plan.
12. Ending the agreement
You can stop using the Service and close your account at any time. We may end your account with 30 days' notice, or immediately if you materially breach these terms and don't fix the breach within 14 days of our notice.
13. Changes to these terms
We may update these terms. For material changes we'll tell account owners by email or in the app at least 30 days before they apply. If you don't agree, you can cancel before the change takes effect.
14. Law and disputes
These terms are governed by the laws of the Republic of Bulgaria. The courts of Sofia have jurisdiction, unless mandatory law gives you the right to go to court elsewhere.
